Welcome to Prixm™. These are our rules if you want to use Prixm. If you do not agree to these rules as we have outlined them here, you cannot use Prixm. We can change these rules and will post any updated rules on Prixm and will email you at the email address you registered. You may or may not notice them. We have intentionally written them in a way that avoids legalese so that everyone can clearly understand and agree to the rules and understand their rights and responsibilities.

We hope there won’t be any problems and that you will reach out to us if you are having issues with our service.

1.0 PRIXM SERVICES

We agree to provide you with services, or the “Service” through Prixm. The Service includes all of the Prixm products, features, applications, modules, technologies, and software that we provide to you to advance Prixm’s mission: A platform that connects your story to that which matters most to you. In exchange for providing this service, we require you to follow these rules:

  1. You must be at least 13 years old to use Prixm, or if you are a resident of the EU, you must be at least 16 years old. Don’t lie about your age. If you are under 18, you agree that a parent or legal guardian agrees to these rules on your behalf.

  2. We don’t allow any content that is violent, or that promotes violence or violent groups, or that might make other people feel scared.

  3. We don’t allow content that contains nudity, sexual violence, or commercial sexual content.

  4. We don’t allow content that promotes crime or anything that would break laws in the United States.

  5. We don’t allow content related to certain regulated goods, like selling or trading non-medical drugs, pharmaceutical drugs, or marijuana. We also prohibit the purchase, sale, gifting, exchange, and transfer of firearms, including firearm parts or ammunition, between private individuals who do not have a US-issued Federal Firearms License.

  6. We don’t allow you to use anyone else’s account without their permission and can remove you from the platform if you are trying to find out their login details.

  7. We don’t allow you to set up an account with someone else’s name, including a famous person or a company. If you lie when you set up an account, you can be kicked off the service.

  8. We don’t allow bullying. By bullying, we mean making a degrading statement about someone or posting inappropriate images that threaten someone. If you wouldn’t say it to someone’s face, you shouldn’t say it on Prixm. And if you can’t say anything nice, maybe you shouldn’t say anything at all. 

  9. We don’t allow you to post personal or private information about someone else without their permission. This includes someone’s contact information like their phone number, address, email, location, or other private details that should not be shared without their permission.

  10. We don’t allow you to post content that doesn’t belong to you or infringes upon someone else’s intellectual property.

  11. We don’t allow you to use Prixm to do anything illegal or that we tell you not to in these rules.

  12. We don’t allow you to change anything about our website or applications, upload any type of virus or malware, or do anything else that might interfere with the way Prixm works.

  13. We don’t allow you use any type of software or robot to create accounts or access Prixm, and don’t use it send spam or unwanted messages to others.

  14. We don’t allow you do anything that might affect how other people use and enjoy Prixm. Please be a good neighbor.

  15. We don’t allow you encourage anyone to break these rules.

  16. We don’t allow you register for an account if you are not allowed to under any other rules or laws.

  17. We don’t allow you to register for an account if your previous account was disabled or you were kicked off for violating our rules without express permission from a Prixm administrator.

2.0 YOUR RIGHTS

2.1 You have the right to feel safe using Prixm. We use token authorization for login, but once you are logged out we do not keep track of what you are doing on your device.

2.2. You have the right to your privacy on Prixm. We collect some data when you register and some data automatically as you use the platform. We will not share your personal information, including your name, username, profile picture, email address, phone number, birth date, or relationship with others. We may use some of the data we collect automatically about all the users, like demographic data (age, location, and type of device) to recommend modules, or features, or to improve user experience on Prixm. However, we will not share or sell any of this information without adding it to other user information (also known as aggregating). We do not currently harvest or sell data to advertisers.

2.3. You own your content, which means any pictures, videos, or text you post. You only grant us the rights necessary to operate our services and to share or post when you tell us to share or post with those people you have designated in the platform.

2.4. You have the right to be forgotten and can delete your account and the content on your page at any time by logging in and completing a delete request. It may take a few days to process and may be visible by others in the meantime. Some of your content that was on other accounts or pages or that was shared may survive and may not be deletable. Please think before you post. We may also keep your registration information for as long as need to do run our business and to follow these rules. 2.5. You are responsible for anything you do on Prixm under your login, including things you post and comment on. You are responsible for making sure the stuff you post belongs to you, including any music or photos. If you post something you shouldn’t and get a fine -- you will have to pay it.

3.0 OUR RIGHTS

3.1. You own the rights to your content, but you give us the right, or limited license, to share your content as you use the services in Prixm to post, comment, or otherwise interact with others. You give us a non-exclusive, royalty-free, non-transferable, sub-licensable worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content that matches your Prixm data settings. If you choose to use other modules in Prixm, you agree to the separate terms and rules of those modules which may include sharing and licensing your content. You can end this license anytime by deleting your content or account. However, content will continue to appear if you shared it with others and they have not deleted it. To learn more about how we use information, and how to control or delete your content, review the privacy policy and your data settings.

3.2. We will not share your personal information with other companies. This includes the information you use to register or anything else we learn about you from using Prixm. We only keep the data we need to run Prixm, but we do not store your data or sell it to others. If you want to know what data we have on you, you can find out more from our privacy policy

3.3. We are not responsible for:

  1. Links to other companies or websites, even when the link shows up in Prixm

  2. What happens when you connect your Prixm account to another website or service, including sharing a picture or video. You should read the rules for that service to know your rights.

  3. The data cost on your mobile device for using Prixm.

  4. Any content that is stolen or copied from Prixm by someone else.

3.4. We do our best to provide consistent and reliable services, and will use our best judgment when tricky situations arise. However, the bottom line is that we reserve the right to end Prixm services at any time. We also reserve the right to stop you from using Prixm at any time, even if you disagree with us on the reason. We also reserve the right to delete posts, whether you think they violated our rules or not. We are also not liable for the damages that could come from modifying or deleting monetized content. We don’t plan on using these powers unless we need to, but we want to be transparent about our rules so that you know what to expect from us.

3.5. We can make you switch your username for any reason.

3.6. We can make updates to the service and download them to your device as needed.

3.7. We can, but do not have to, remove, block, edit, blur, cover or monitor anything posted that breaks any of our rules. We are not liable, or responsible, if someone else breaks any of these rules on Prixm and you suffer some harm because of it.  You, as a user, are responsible for the consequences of your actions if you break any of the rules listed here and may be liable to others for your actions. You should use your best judgment and manners while on Prixm and remember the golden rule.

3.8. We own the name Prixm, our trademarks, slogan, logos, and the content connected to our business, including our code. Do not try to use our stuff, remove it, change it, or claim to be us without written permission.

3.9. We may ask for donations to help support our platform and mission. However, to be clear, we are not a 501(c) organization or charity, and we do not offer tax receipts for any donations. Thank you for your support.

4.0 THIS AGREEMENT

4.1. If you use other features or services, including using money or payment services on Prixm, you will need to follow those rules. If any of those rules conflict with these rules, those rules will win.

4.2. If a court finds any of this agreement unenforceable, the other rules will still be valid.

4.3. Any changes to these rules must be made in writing. If we fail to enforce any of these rules for any reason, we still have the right to enforce them in the future and our behavior will not be a waiver of our overall rights in this Agreement.

4.4. We reserve all the rights we did not expressly grant or tell you about in this agreement.

4.5. No one else besides you and us (no third parties) have rights under this agreement.

4.6 You cannot give these rights or obligations to someone else without our consent. We can give our rights and obligations to someone else, however, for example if we change ownership by selling part or all of our business or if we need to for legal reasons.

5.0 LIMITS ON LIABILITY

5.1. Prixm operates "as is," and we can't guarantee it will be safe and secure or will work perfectly all the time. Sometimes crazy things and mistakes happen. TO THE EXTENT PERMITTED BY LAW, WE ALSO DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content they share (including offensive, inappropriate, obscene, unlawful, and other objectionable content). We also aren’t responsible for services and features offered by other people or companies, even if you access them through our service. You should read and agree to their rules and terms.

5.2. We cannot predict when issues might arise with our service. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will we be liable to you for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if we have been advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms will not exceed the greater of $100 or the amount you have paid us in the past twelve months.

5.3. You agree to defend (at our request), indemnify and hold us harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney's fees and costs, arising out of or connected with these Terms or your use of the Service. You will cooperate as required by us in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you may not settle any claim without our prior written consent.

6.0 HOW WE WILL HANDLE DISPUTES

6.1. We hope there won’t be any problems and that you will reach out to us if you are having issues with our service. But, if you have a legal problem with Prixm, you agree to use binding arbitration under the AAA, which means you will not get to go to court by yourself or with others or be part of a class-action lawsuit or arbitration. We and you waive a trial by jury. The following claims don't have to be arbitrated and may be brought in court: small claims, intellectual property disputes (like copyrights and trademarks), or efforts to interfere with the services or engage with the service in unauthorized ways. A court can also decide issues about the scope and enforceability of these arbitration provisions.

6.2. For any claim that is not arbitrated or resolved in small claims court, you agree that it will be resolved exclusively in the U.S. District Court for the District of Utah or a state court located in Salt Lake County, Utah. You also agree to submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim.

6.3. The laws of the State of Utah, to the extent not preempted by or inconsistent with federal law, will govern these Terms and any claim, without regard to conflict of law provisions.
